01 Acceptance of Terms
Welcome to Innove Biz Ecommerce ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the services, website, and related materials provided by Innove Biz Ecommerce through innovebizsolution.us (the "Website").
By engaging our services, accessing our Website, or submitting any service request, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must not use our services or Website.
These Terms constitute a legally binding agreement between you and Innove Biz Ecommerce. If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
02 Description of Services
Innove Biz Ecommerce provides professional business services including, but not limited to, the following categories:
- eCommerce Marketplace Management — Account setup, product listing optimization, inventory management, store design, and ongoing marketplace strategy for platforms including eBay, Amazon, and Walmart.
- Website Design & Development — Custom website creation, landing pages, responsive design, content management system implementation, and ongoing website maintenance and support.
- Branding & Identity — Logo design, visual identity systems, brand guidelines, marketing collateral, and cohesive brand strategy development.
- LLC & LTD Formation — Business entity formation services for US LLCs, UK LTDs, and other corporate structures, including registered agent services and state/jurisdiction filings.
- Business Documents — Custom-drafted operating agreements, shareholder agreements, corporate resolutions, partnership agreements, compliance filings, NDAs, and other professional business documents.
The specific scope, deliverables, and timelines for each engagement shall be defined in the applicable service agreement, proposal, or order confirmation provided to the Client prior to the commencement of work.
03 Service Engagement & Deliverables
3.1 Service Commencement
Work on any project or service shall commence only after (a) both parties have agreed upon the scope of services, (b) any required deposits or initial payments have been received, and (c) the Client has provided all necessary materials, information, and access credentials required to begin work.
3.2 Scope of Work
Each engagement is governed by its specific scope of work as outlined in the applicable proposal, service agreement, or order confirmation. Any work requested beyond the agreed-upon scope constitutes a change order and may be subject to additional fees and revised timelines.
3.3 Deliverables & Revisions
Deliverables will be provided in the format(s) specified in the service agreement. Unless otherwise stated:
- Design projects include up to two (2) rounds of revisions within the agreed scope.
- Additional revision rounds may be provided at an additional cost.
- Revision requests must be submitted within fourteen (14) calendar days of receiving the initial deliverable. After this period, additional revision requests may be treated as new work.
3.4 Timelines
Estimated delivery timelines are provided in good faith and are contingent upon timely receipt of Client materials, feedback, and approvals. Delays caused by the Client may result in adjusted timelines. We shall not be liable for delays arising from circumstances beyond our reasonable control.
04 Payment Terms & Pricing
4.1 Pricing
All prices are quoted in United States Dollars (USD) unless otherwise specified. Pricing for services is based on the scope of work agreed upon at the time of engagement. We reserve the right to adjust pricing for future services with reasonable advance notice.
4.2 Payment Schedule
Unless otherwise agreed in writing:
- A non-refundable deposit of fifty percent (50%) of the total project fee is required before work commences.
- The remaining balance is due upon completion and delivery of the final deliverables.
- For ongoing/retainer services, payments are due on the first (1st) of each billing cycle as outlined in the service agreement.
4.3 Late Payments
Invoices not paid within fifteen (15) calendar days of the due date may be subject to a late fee of 1.5% per month (or the maximum amount permitted by law, whichever is lower) on the outstanding balance. We reserve the right to suspend or discontinue services for any account with an overdue balance exceeding thirty (30) days.
4.4 Refunds
Deposits are non-refundable once work has commenced. Refund eligibility for other payments is evaluated on a case-by-case basis, taking into account the amount of work completed and resources allocated. No refunds will be issued for completed and delivered work that conforms to the agreed scope.
05 Client Responsibilities
To ensure the successful and timely delivery of services, the Client agrees to:
- Provide accurate and complete information, content, and materials as requested and within the agreed timelines.
- Designate a single point of contact with decision-making authority to communicate with us regarding the project.
- Review and provide feedback on deliverables within the timeframes specified in the project agreement.
- Ensure that all materials provided to us (including text, images, logos, and data) are owned by the Client or that the Client has obtained all necessary licenses and permissions for their use.
- Maintain the security of account credentials and notify us immediately of any unauthorized access.
- Comply with all applicable laws, regulations, and platform policies related to the Client's business operations.
Failure to meet these responsibilities may result in project delays, additional costs, or modification of deliverables, for which Innove Biz Ecommerce shall not be held liable.
06 Intellectual Property Rights
6.1 Client Materials
The Client retains all ownership rights to materials, content, trademarks, and intellectual property provided to us for the purpose of performing the services. By providing such materials, the Client grants us a limited, non-exclusive license to use them solely for the purpose of fulfilling the agreed-upon services.
6.2 Work Product
Upon receipt of full payment for completed services, ownership of the final deliverables specifically created for the Client shall transfer to the Client, except for the following:
- Pre-existing Materials — Any tools, frameworks, code libraries, templates, or methodologies that existed prior to the engagement or were developed independently by Innove Biz Ecommerce remain our exclusive property. The Client receives a non-exclusive, perpetual license to use such materials as incorporated in the deliverables.
- Third-Party Assets — Any third-party fonts, stock images, plugins, or software used in the deliverables remain subject to their respective license terms.
6.3 Portfolio Rights
Unless explicitly prohibited in writing by the Client, Innove Biz Ecommerce retains the right to display completed work in its portfolio, marketing materials, and case studies for promotional purposes.
07 Confidentiality
Both parties agree to treat as confidential any proprietary or sensitive information disclosed during the course of the engagement ("Confidential Information"). This includes, but is not limited to, business strategies, financial data, customer lists, account credentials, trade secrets, and technical information.
Each party agrees to:
- Use Confidential Information solely for the purpose of fulfilling obligations under these Terms.
- Not disclose Confidential Information to any third party without prior written consent, except as required by law.
- Take reasonable measures to protect the confidentiality and security of such information.
Confidentiality obligations shall survive the termination of the service engagement for a period of two (2) years, except for trade secrets, which shall remain protected indefinitely.
08 Limitation of Liability
To the maximum extent permitted by applicable law:
- Innove Biz Ecommerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to these Terms or the services provided.
- Our total aggregate liability for any and all claims arising from or related to these Terms or any service engagement shall not exceed the total fees actually paid by the Client to Innove Biz Ecommerce for the specific service giving rise to the claim during the twelve (12) months preceding the event.
- We shall not be liable for any damages resulting from the Client's failure to maintain adequate backups of data, content, or materials.
- We do not guarantee specific business outcomes, revenue increases, search engine rankings, or marketplace performance metrics unless explicitly stated in a written service agreement.
These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.
09 Service Availability & Modifications
Innove Biz Ecommerce reserves the right to:
- Modify, suspend, or discontinue any service offering at any time, with reasonable notice to affected Clients.
- Update its processes, tools, and methodologies as necessary to maintain quality and compliance.
- Schedule maintenance windows that may temporarily affect service availability.
For ongoing service engagements, we will provide at least thirty (30) days' written notice before discontinuing a service that affects an active Client agreement. We shall not be liable for any modification or temporary interruption of services.
10 Third-Party Platforms
Our eCommerce management services involve working with third-party marketplace platforms including, but not limited to, eBay, Amazon, and Walmart Marketplace. The Client acknowledges and agrees that:
- These platforms are independently owned and operated by their respective companies. Innove Biz Ecommerce is not affiliated with, endorsed by, or a representative of any third-party platform.
- Each platform maintains its own terms of service, seller policies, fee structures, and operational guidelines, which may change at any time without prior notice from Innove Biz Ecommerce.
- We are not responsible or liable for any policy changes, fee adjustments, account suspensions, listing removals, algorithm updates, or other actions taken by third-party platforms.
- The Client is ultimately responsible for compliance with all applicable platform policies and for maintaining their seller accounts in good standing.
- Performance on third-party platforms is subject to factors beyond our control, including but not limited to marketplace competition, algorithm changes, seasonal trends, and platform-level technical issues.
- Any fees charged by third-party platforms (including selling fees, subscription fees, advertising costs, and fulfillment fees) are the sole responsibility of the Client and are separate from fees charged by Innove Biz Ecommerce.
11 Account Access & Credentials
Certain services may require the Client to provide access credentials to marketplace accounts, hosting environments, domain registrars, or other third-party platforms. In connection with such access, the Client agrees that:
- All credentials are provided voluntarily and at the Client's own risk.
- Innove Biz Ecommerce will use provided credentials solely for the purpose of performing the agreed-upon services.
- We will take commercially reasonable measures to secure stored credentials and limit access to authorized personnel only.
- The Client is responsible for changing passwords and revoking access upon completion or termination of the service engagement.
- We strongly recommend the use of delegated access methods (such as user invitations or role-based permissions) rather than sharing primary account credentials wherever possible.
- Innove Biz Ecommerce shall not be held liable for any unauthorized access, data breach, or account compromise that results from the Client's failure to maintain adequate security practices.
12 Dispute Resolution
12.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided, the parties agree to first attempt to resolve the matter through good-faith negotiation. The aggrieved party shall provide written notice describing the dispute, and both parties shall make reasonable efforts to reach a mutually acceptable resolution within thirty (30) calendar days.
12.2 Mediation
If the dispute cannot be resolved through informal negotiation, the parties agree to submit the matter to non-binding mediation administered by a mutually agreed-upon mediator before initiating any formal legal proceedings. Each party shall bear its own costs of mediation, and the mediator's fees shall be shared equally.
12.3 Binding Arbitration
If mediation fails to produce a resolution within sixty (60) calendar days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding. Judgment upon the award may be entered in any court of competent jurisdiction.
12.4 Exceptions
Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
13 Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.
Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and both parties consent to the personal jurisdiction and venue of such courts.
14 Termination
14.1 Termination by Client
The Client may terminate an ongoing service engagement by providing thirty (30) days' written notice to Innove Biz Ecommerce. The Client shall remain responsible for payment of all services rendered and expenses incurred through the effective date of termination.
14.2 Termination by Company
Innove Biz Ecommerce may terminate or suspend services immediately upon written notice if:
- The Client breaches any material provision of these Terms and fails to cure such breach within fifteen (15) days of receiving written notice.
- The Client fails to make payments when due and such failure continues for more than thirty (30) days.
- The Client engages in conduct that is unlawful, fraudulent, or harmful to the Company's reputation.
- Continuing the engagement would violate applicable laws or third-party platform policies.
14.3 Effect of Termination
Upon termination:
- All outstanding invoices become immediately due and payable.
- Each party shall return or destroy any Confidential Information belonging to the other party.
- The Client shall receive all completed deliverables for which full payment has been made.
- Provisions regarding intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.
15 Changes to Terms
Innove Biz Ecommerce reserves the right to update or modify these Terms at any time. When changes are made:
- The "Last Updated" date at the top of this page will be revised accordingly.
- Material changes will be communicated to active Clients via email or through a prominent notice on our Website.
- Continued use of our services or Website after the effective date of any changes constitutes acceptance of the updated Terms.
We encourage you to review these Terms periodically to stay informed of any updates. For active service engagements, the Terms in effect at the time the engagement was initiated shall govern that specific engagement unless both parties agree in writing to apply the updated Terms.
